Moon Wood Furniture Terms & Conditions

These terms and conditions govern all orders, transactions, and business arrangements between Moon Wood Furniture ("Moon Wood," "we," "us") and the buyer ("you," "the Buyer"). By placing an order or submitting a quote request through moonwoodfurniture.com you agree to these terms.
1. Orders & Minimum Order Quantity
Moon Wood's standard minimum order is one 20-foot container. Mixed items are accepted within a single container; you are not required to fill a container with a single product line.
For buyers with requirements below one container load, orders may be considered on a case by case basis. Contact us to discuss your specific needs and we will advise on feasibility and pricing.
All orders are subject to written confirmation from Moon Wood before production begins.
2. Custom Production
All Moon Wood products are manufactured to order. Once an order is confirmed and production begins, specifications including dimensions, materials, finishes, and quantities are fixed.
Any changes to an order after production has commenced must be requested in writing and are subject to Moon Wood's approval. Changes may result in additional costs and revised lead times.
3. Payment Terms
A deposit of 50% of the total order value is required to confirm your order and initiate production. The remaining balance of 50% is payable in full before shipment and prior to the release of shipping documents.
Where alternative payment arrangements are agreed, these will be specified in writing in your quotation. Moon Wood reserves the right to withhold shipment and shipping documents until full payment is received and cleared.
4. Cancellation Policy
As all products are custom-made to the Buyer's specifications, the deposit is non-refundable once production has commenced.
If a cancellation is requested after production has started, the Buyer may be required to pay for materials purchased, labor completed, and any work carried out up to the date of cancellation. The amount due will be assessed and communicated to the Buyer in writing.
5. Pricing & Quotations
All prices quoted by Moon Wood are valid for the period specified in the quotation. Where no validity period is stated, quotations are valid for 3 to 6 months from the date of issue.
Prices are subject to change due to fluctuations in raw material costs, exchange rates, or shipping conditions. Quoted prices are based on FOB or FCL terms as specified. Any additional costs arising from changes in shipping rates, port charges, or handling fees after the quotation date are the responsibility of the Buyer unless otherwise agreed in writing.
6. Shipping & Export
Moon Wood coordinates export documentation and shipping from our Indonesia facility. Shipping is arranged on FOB or FCL terms unless otherwise agreed in writing.
Risk of loss or damage transfers to the Buyer once the goods are loaded onto the vessel at the port of shipment under FOB terms. Any claims for transit damage must be directed to the shipping line or cargo insurance provider.
Moon Wood works with established freight forwarders. If the Buyer wishes to arrange their own shipping, this must be agreed upon before the order is confirmed.
7. Import Duties & Taxes
All import duties, customs clearance fees, VAT, GST, taxes, or any other charges imposed by the destination country are the sole responsibility of the Buyer. Moon Wood is not responsible for delays or additional costs arising from customs clearance in the destination country.
8. Inspection & Claims
The Buyer shall inspect all goods immediately upon arrival. Any claims for damaged, defective, or missing items must be submitted to Moon Wood in writing within 7 days of receipt of the shipment.
All claims must include:
- Clear photographs of the affected items
- The original packing list
- Any other supporting documentation
Moon Wood will review all claims promptly. If a claim is confirmed to be the result of a manufacturing defect or packing error, Moon Wood will at its sole discretion repair, replace, or issue a credit for the affected items in the next shipment.
Moon Wood is not responsible for damage caused by improper unloading, handling, storage, installation, misuse, normal wear and tear, or any modifications made to the goods after delivery.
9. Intellectual Property
Any designs, drawings, specifications, or other materials provided by the Buyer remain the intellectual property of the Buyer. Moon Wood will not reproduce or share Buyer-provided designs with third parties without written consent.
Any designs created by Moon Wood's in-house team remain the intellectual property of Moon Wood unless otherwise agreed in writing.
Custom designs developed by Moon Wood based on Buyer specifications will be treated as Buyer property upon full payment of the relevant order.
10. Confidentiality
Both parties agree to keep confidential any pricing, production details, designs, and business information shared during the course of their business relationship. This obligation remains in effect after the completion of any order.
11. Force Majeure
Moon Wood shall not be held liable for any delay or failure to fulfill an order resulting from circumstances beyond our reasonable control. This includes but is not limited to natural disasters, pandemics, port strikes, shipping disruptions, material shortages, government restrictions, or any other event outside Moon Wood's control.
In the event of a force majeure situation Moon Wood will notify the Buyer as soon as reasonably possible and provide an updated production and delivery timeline. Both parties will make reasonable efforts to find a mutually acceptable solution.
12. Limitation of Liability
Moon Wood's liability in connection with any order is limited to the value of the goods supplied under that order. Moon Wood is not liable for any indirect, consequential, or special damages arising from delays, defects, or non-delivery of goods.
13. Governing Law
These terms and conditions are governed by the laws of Indonesia. Any disputes arising from these terms or from any order placed with Moon Wood will be subject to the jurisdiction of the relevant courts in Indonesia.
Moon Wood is committed to resolving disputes amicably and will make reasonable efforts to reach a mutually acceptable resolution before any formal legal proceedings are initiated. Buyers are encouraged to contact us directly to discuss any concerns.
14. Changes to These Terms
Moon Wood reserves the right to update these terms and conditions at any time. Any changes will be posted on this page with an updated date at the top. Continued engagement with Moon Wood following any changes constitutes acceptance of the updated terms.
